Common use of Condition of Effectiveness Clause in Contracts

Condition of Effectiveness. The effectiveness of this Amendment is subject to the condition precedent that the Administrative Agent shall have received duly executed originals of this Amendment from each of the Borrower, the Guarantor, the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Administrative Agent.

Condition of Effectiveness. The effectiveness This Amendment shall become effective as of this Amendment is subject to the condition precedent that date first above written when the Administrative Agent shall have received duly executed originals counterparts of this Amendment from each of executed by the Borrower, the Guarantor, Subsidiary Guarantors and the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Administrative AgentBanks.

Condition of Effectiveness. The effectiveness of this Amendment is subject only to the condition precedent that the Administrative Agent shall have received duly executed originals counterparts of this Amendment from each of duly executed by the BorrowerCompany, the GuarantorBanks required to execute and deliver this Amendment in order to give effect hereto, the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Administrative Agent.

The effectiveness of this Amendment is subject to the condition precedent that the Administrative Agent shall have received duly executed originals of this Amendment from each of the Borrower, the Guarantor, the Required Lenders under Section 11.02 of the Credit AgreementLender, the LC Bank and the Administrative Agent.

The effectiveness of this Amendment is subject to the condition precedent that following conditions precedent: the Administrative Agent shall have received duly executed originals counterparts of this Amendment from each of duly executed by the Borrower, the Guarantor, Borrowers and the Required Lenders under Section 11.02 Lenders; and all of the Credit Agreement, the LC Bank and the Administrative Agent’s reasonable and documented accrued costs, fees and out-of-pocket expenses through the date hereof, in each case owing by the Borrowers to the Administrative Agent and invoiced prior to the date hereof shall have been fully paid.

The effectiveness of this Amendment is subject to the condition precedent that the Administrative Agent shall have received duly executed originals (i) counterparts of this Amendment from each of duly executed by the Borrower, the GuarantorBorrowers, the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Administrative AgentAgent and (ii) counterparts of the Consent and Reaffirmation attached as Exhibit A hereto duly executed by the Subsidiary Guarantor.

Condition of Effectiveness. The effectiveness of this Amendment is subject to the condition conditions precedent that (i) the Administrative Agent shall have received duly executed originals counterparts of this Amendment from each of duly executed by the Borrower, the GuarantorBorrowers, the Required Lenders under Section 11.02 of the Credit Agreement, the LC Bank and the Administrative Agent and (ii) the Administrative Agent shall have received from the Parent, for the account of each Lender signatory hereto that delivers its executed signature page to this Amendment by no later than the date and time specified by the Administrative Agent, an amendment fee in an amount equal to $5,000.
