Completion Phase. Upon acceptance of the Certificate of Substantial Completion of Construction by the Owner, the Designer shall thereafter provide the following services:
7.9.1 With respect to a completed Project, preparing a Certificate of Final Completion.
7.9.2 With respect to a punch list, re-inspecting the work up to three (3) times in order to determine that the punch list work is satisfactorily completed.
7.9.3 Reviewing and certifying the Contractor’s Application(s) and Certificate(s) for Payment as necessary.
7.9.4 Attending meetings, as reasonably necessary in the opinion of the OPM, unless such meetings involve continued discussions of incomplete or deficient work and the Basic Services punch list site visits have been expended. In such instance, the meetings shall be paid for as Extra Services.
7.9.5 Using the as-built information maintained by the General Contractor during construction referred to in Article 7.8.3, and revising the applicable original reproducible drawings and electronic media drawings on the basis of the as-built drawings, provided that Designer shall be entitled to rely upon the accuracy and completeness of the Contractor’s as-built information. Upon completion of the required drafting and editing, provide one (1) set of Record Drawing mylar reproducibles, two (2) sets of Record Drawing prints, and two (2) electronic version Record Drawing copies to the Owner which shall become the property of the Owner. The cost for printing the mylar reproducibles and two sets of prints are Reimbursable Expenses. Upon completion of the required drafting and editing, provide one (1) set of Record Drawing prints and one (1) electronic version copies to the Authority.
7.9.6 Ten (10) months after the date of substantial completion, performing one (1) site inspection and preparing a list of construction warranty deficiencies. The Designer shall consult with the Commissioning Consultant upon the acceptability of warranty compliance requirements and response actions.
7.9.7 Informing the Owner, in writing, through the OPM, of all such warranty deficiencies that should be addressed.
7.9.8 Performing one (1) site inspection within a further sixty (60) days to see that all such warranty deficiencies have been corrected.
Completion Phase. 8.7.1 The Owner’s Project Manager shall monitor the activities and responsibilities of the Designer and the Contractor in the close-out and commissioning of the Project.
8.7.2 The Owner’s Project Manager shall assist in securing and reviewing and recommending approval of all project completion forms and documentation necessary for occupancy and full operation of the facility including, but not necessarily limited to, inspection certificates of local building authorities, Certificate of Substantial Completion, Certificate of Final Completion, Occupancy Permit, shop drawings, as-built drawings, operations and maintenance manuals, warranties, guarantees and any and all documentation as required by the contract documents and the Authority.
Completion Phase. Upon acceptance of the Certificate of Substantial Completion of Construction by the Authority and the Department, the Designer shall administer the Owner-Contractor Contract until the expiration of the one-year construction warranty period, including:
17.8.1 Performing one (1) inspection of the work in order to prepare a monetized punchlist with a cost assigned to each incomplete or deficient work item or to determine that the Project is complete.

Completion Phase. 8.7.1 The Owner’s Project Manager shall monitor the activities and responsibilities of the Designer and the Contractor in the close-out and commissioning of the Project and the Owner’s Project Manager shall coordinate and execute the Commissioning certification required by the Authority prior to audit closeout.
8.7.2 The Owner’s Project Manager shall assist in securing and reviewing and recommending approval of all project completion forms and documentation necessary for occupancy and full operation of the facility including, but not necessarily limited to, inspection certificates of local building authorities, Certificate of Substantial Completion, Certificate of Final Completion, Occupancy Permit, shop drawings, as- built drawings, operations and maintenance manuals, warranties, guarantees and any and all documentation as required by the contract documents and the Authority.
Completion Phase. 8.7.1 The Owner’s Project Manager shall conduct inspections of all completed work at substantial completion to develop punch lists; verify substantial completion of work; assist in final inspection and receipt of documents, manuals, receipts, certifications, and all other materials required for final closeout as described in the construction contract. The Owner’s Project Manager shall first prepare its own detailed punchlist and shall then coordinate a subsequent walk-through with the Designer and the Authority’s Commissioning Agent, adding to the Owner’s Project Manager’s prepared punchlist. The Owner’s Project Manager and the Designer shall then coordinate a walk-through with the Owner to finalize the punchlist. The Owner’s Project Manager shall then be responsible for tracking and confirming the completion of the punchlist items. .
8.7.2 The Owner’s Project Manager shall monitor the activities and responsibilities of the Designer and the Contractor in the close-out and commissioning of the Project.
8.7.3 The Owner’s Project Manager shall assist in securing and reviewing and recommending approval of all project completion forms and documentation necessary for occupancy and full operation of the facility including, but not necessarily limited to, inspection certificates of local building authorities, Certificate of Substantial Completion, Certificate of Final Completion, Occupancy Permit, shop drawings, as-built drawings, operations and maintenance manuals, warranties, guarantees and any and all documentation as required by the contract documents and the Authority.
8.7.4 The Owner’s Project Manager shall assist the Owner in completing the written evaluation of the Designer(s) pursuant to M.G. L. c. 7 § 38E and prepare, sign and provide to the Owner for its signature the written evaluation of the Contractor(s) and Trade Subcontractors pursuant to M.G.L. c. 149 § 44D.
Completion Phase. SIBE shall make payments to SAFER during the Completion Phase contingent upon the occurrence of certain events for which SAFER is responsible, as more fully set forth in the Definitive Agreement. Upon delivery of the manuals to SIBE by SAFER, SIBE shall pay $825,000 in cash and issue $550,000 of Shares to SAFER, with such Shares to be held in escrow and disbursed as provided in Section 11 of this MOU. Upon verification by SAFER to SIBE that the Equipment has been shipped, SIBE shall pay to SAFER $1.65 million in cash and issue $1.1 million of Shares to SAFER, with such Shares to be held in escrow and disbursed as provided in Section 11 of this MOU. Upon delivery of the Equipment to the Building Site, SIBE shall pay to SAFER $1.65 million in cash and issue $1.1 million of Shares to SAFER, with such Shares to be held in escrow and disbursed as provided in Section 11 of this MOU. Subject to reductions negotiated by the parties and included in the Definitive Agreement, upon verification of output and production of the Equipment (the "Commissioning"), SIBE shall pay to SAFER $1.65 million in cash and issue $1.1 million of Shares to SAFER, ("Commissioning Payment") with such Shares to be held in escrow and disbursed as provided in Section 11 of this MOU.

8.4.3 The OPM shall assist the Owner in completing the written evaluation of the Designer(s) pursuant to M.G. L. c. 7C § 48 and prepare, sign and provide to the Owner for its signature the written evaluation of the Contractor(s) and Trade Subcontractors pursuant to M.G.L. c. 149 § 44D.
