Construction Phase Fee. Contractor’s Construction Phase Fee is the maximum amount payable to Contractor for any cost or profit expectation incurred in the performance of the Work that is not specifically identified as being eligible for reimbursement by Owner elsewhere in this Agreement. Any legal, accounting, professional or other similar costs incurred by the Construction Manager, including costs incurred in connection with the prosecution or defense any dispute, mediation, arbitration, litigation or other such proceeding related to or arising from the Project. Any Federal and/or State income and franchise taxes paid by Construction Manager. Any fines, penalties, sanctions or other levies assessed by any governmental body against Construction Manager. Construction Phase Fee. The compensation to be paid to the Design-Build Firm during the Construction Phase and includes: 7.1 Salaries or other compensation of the Design-Build Firm's employees assigned to the project at its principal office and branch offices. 7.2 The Design-Build Firm's personnel assigned during the Construction Phase, their duties, and responsibilities to this Project, and the duration of their assignments are shown on Exhibit I. Such personnel shall not be replaced without prior written consent of the County, which shall not be unreasonably withheld. 7.3 General operating expenses related to this Project of the Design- Build Firm's principal and branch offices. 7.4 The costs of all data processing staff. 7.5 Salaries or other compensation of the Design-Build Firm's employees assigned to the project at the job-site.
