Complete Agreement; Changes. In signing this Agreement and it becoming effective, I represent and warrant that I am not relying on any statements, representations, negotiations, promises or agreements that are not expressly set forth in this Agreement. I also understand and agree that: • this Agreement including the Attachments contains my entire understanding, and the entire agreement by me, with respect to the matters covered herein; and • this Agreement merges, cancels, supersedes and replaces all prior statements, representations, negotiations, promises or agreements relating to the subjects covered by this Agreement that may have been made by any of the Released Parties, including but not limited to my offer letter from the Company dated November 22, 2006 as amended and restated on October 6, 2008, except (i) my CIIA and Consulting Agreement which remain in full force and effect in accordance with their respective terms, (ii) the benefit plans and agreements referenced in Section 3(c), above, and (iii) any debt obligation I owe to the Company; and • this Agreement cannot be changed except by another written agreement signed by me and the Chief Financial Officer or the Chief Executive Officer of the Company.
