Subcontractors and Third Parties. Contractor warrants that no State data will be transmitted, exchanged or otherwise provided to other parties except as specifically agreed to in writing by the State Chief Information Security Officer or delegate. Contractor must ensure that any contractors, subcontractors, agents and others to whom it provides State data, agree in writing to be bound by the same restrictions and conditions under this Contract that apply to Contractor with respect to such data.
Subcontractors and Third Parties. If the Contractor appoints a subcontractor or the Customer appoints a third party to perform work occasioned by this Agreement, the relevant party shall remain fully responsible for the performance of such work in the same manner as if said party was performing the work itself. The Contractor shall be notified of any third party selected by the Customer, and may reject the assignment if the Contractor is able to demonstrate that this will entail a material commercial disadvantage to the Contractor. The Contractor's use and replacement of subcontractors that directly participate in the performance of the deliverables must be approved in writing by the Customer. Approval shall not be unreasonably withheld. The Contractor shall cooperate with the Customer's other contractors and third parties, including any provider of operational services and providers of third-party software that is covered by the maintenance agreement. The cooperation shall be described in more detail in the cooperation plan, cf. clause 2.1.2.
Subcontractors and Third Parties. Each Party may use subcontractors to fulfil its obligations under this Agreement. Whenever applicable, each Party is fully responsible for its own undertakings arising out of or in connection with the use of subcontractors and other third-parties. Subject to Section 14.1, each Party is fully liable for any such subcontractor or other third-parties, including but not limited to, Authorized Third-parties and Customer’s use of social media services, such as Facebook, Instagram, YouTube, TikTok etc, in connection with the use of Bambuser Solution.

The County acknowledges that in the course of performing its services, the Contractor may desire or require the use of goods, services, and/or assistance of Subcontractors or other third parties or suppliers. The terms of this Exhibit shall also apply to all Subcontractors and third parties. The Contractor or third party shall be subject to the following terms and conditions: (i) each Subcontractor and third party must agree in writing to comply with and be bound by the applicable terms and conditions of this Exhibit, both for itself and to enable the Contractor to be and remain in compliance with its obligations hereunder, including those provisions relating to Confidentiality, Integrity, Availability, disclosures, security, and such other terms and conditions as may be reasonably necessary to effectuate the Contract including this Exhibit; and (ii) the Contractor shall be and remain fully liable for the acts and omissions of each Subcontractor and third party, and fully responsible for the due and proper performance of all Contractor obligations under the Contract. The Contractor shall obtain advanced approval from the County’s Chief Information Security Officer and/or Chief Privacy Officer prior to subcontracting services subject to this Exhibit.

Contractor must ensure that any contractors, subcontractors, agents and others to whom it provides GRPUC data, agree in writing to be bound by the same restrictions and conditions under this Contract that apply to Contractor with respect to such data.
Subcontractors and Third Parties. Xxxxxxx agrees that no protected information shall be transmitted, exchanged or otherwise provided to other parties except as specifically agreed to in writing by the State Chief Information Security Officer or delegate. Grantee must ensure that any contractors, subcontractors, agents and others to whom it provides protected information, agree in writing to be bound by the same restrictions and conditions under this Contract that apply to Grantee with respect to such data.
Subcontractors and Third Parties. The Service Provider can not use subcontractors to carry out Services that are to be performed for the Customer without the Customer’s previous written consent. Each of the Parties is responsible for its own suppliers, subcontractors, others involved in the performance of the Agreement and customers and their representatives as for work of its own. The Service Provider undertakes to cooperate with third parties to the extent that the Customer deems this is necessary for the purposes of performing the duties stipulated in this Agreement. The scope of such assistance shall be specified in Exhibit 6. Any consideration for such assistance shall be specified in Exhibit 7. The Service Provider shall in such cases adopt an independent position, and act in consultation with the Customer. However, the Service Provider shall be released from such duties if it demonstrates that it is probable that such cooperation would be of material disadvantage to its relationship with existing subcontractors or other business contacts.
Subcontractors and Third Parties. Syneos Health will not use the services of any Subcontractors or, to the best of its knowledge, Third Party Vendors that are or have been debarred or disqualified under the Generic Drug Enforcement Act of 1992.
Subcontractors and Third Parties. 11.1 We reserve the right to employ subcontractors. Any reference to our staff in the Contract includes our subcontractor staff. Subject to these terms of business, we will remain liable to you for any services provided by any subcontractor of ours.
Subcontractors and Third Parties. Consultant shall not use independent consultants, subcontractors or other persons other than Consultant to perform the Services without the express written consent of Xxxxxxx.xxx.
