Compensation Deduction. If the Partnership is entitled to a deduction for compensation to a person providing services to the Partnership or its subsidiaries the economic cost of which is borne by a Partner (and not the Partnership or its subsidiaries), whether paid in cash, Class A Units or other property, the Partner who bore such economic cost shall be treated as having contributed to the Partnership such cash, Class A Units or other property, and the Partnership shall allocate the deduction attributable to such payment to such Partner. If any income or gain is recognized by the Partnership by reason of such transfer of property to the person providing services to the Partnership or its subsidiaries, such income or gain will be allocated to the Partner who transferred such property.

If any income or gain is recognized by the Company by reason of such transfer of property to the person providing services to the Company or its subsidiaries, such income or gain will be allocated to the Member who transferred such property; provided, if any income or gain is recognized by the Company by reason of such transfer of property by the Holding Company, HSKB or HSKB II to the person providing services to the Company or its subsidiaries, such income or gain will be allocated to the Member who transferred such property as determined in the reasonable discretion of the Company and the Holding Company.
Compensation Deduction. Buyer and Seller acknowledge and agree that Seller, as a successor to the Company (and any U.S. consolidated subsidiary) as a result of the Section 338(h)(10) election pursuant to Section 8.05 of this Agreement, shall be entitled to claim any Tax deductions available in connection with (a) any exercises of stock options by, or (b) compensatory payments (but solely to the extent paid by Seller or another member of Seller Group or paid by the Company and taken into account as a Liability in determining the Working Capital Adjustment) to, present or former employees of the Company (and any U.S. consolidated subsidiary) made under any of Seller’s or the Company’s benefit plans. Buyer and Seller shall file all Tax Returns consistent with, and shall not take any position with any taxing authority, that is inconsistent with this Section 8.07. Seller shall be responsible for payment of withholding and employment Taxes and any applicable reporting requirements with respect to exercises of stock options and compensatory payments described in this Section 8.07 under any of Seller’s benefit plans and the Company shall be responsible for payment of withholding and employment Taxes and any applicable reporting requirements with respect to all other exercises of stock options and compensatory payments described in this Section 8.07; provided, however, that Seller shall indemnify Buyer for any employment Taxes to the extent they exceed the amount of such employment Taxes taken into account as a Liability in determining the Working Capital Adjustment.
