Common use of Company Certificate Clause in Contracts

Company Certificate. Parent shall have received at the Closing a certificate signed on behalf of the Company by a senior executive officer of the Company to the effect that the conditions set forth in Sections 6.2(a), (b) and (c) have been satisfied.

Company Certificate. Parent shall have received at a certificate, dated as of the Closing a certificate Date, signed on behalf of by the Company by a senior chief executive officer of the Company Company, to the effect that the conditions set forth in Sections 6.2(a), (bSection 8.2(a) and (cSection 8.2(b) have been satisfied.

Company Certificate. Parent shall have received at the Closing a certificate signed on behalf of the Company by a senior executive officer of the Company to the effect that the conditions set forth in Sections 6.2(a), (b), (c) and (cd) have been satisfied.

Company Certificate. Parent shall have received at the Closing a certificate signed on behalf of the Company by a senior executive officer of the Company to the effect that the conditions set forth in Sections 6.2(a), (b6.2(b) and (c6.2(c) have been satisfied.

Parent shall have received at the Closing a certificate signed on behalf of from the Company Company, validly executed by a senior an executive officer of the Company for and on the Company’s behalf, to the effect that that, as of the Closing the conditions set forth in Sections 6.2(a), (b7.2(a) and (c7.2(b) have been satisfiedsatisfied (the “Company Certificate”).

Parent shall have received at the Closing a certificate signed on behalf from the Company, validly executed by the Chief Executive Officer of the Company by a senior executive officer of for and on the Company Company’s behalf, to the effect that that, as of the Closing the conditions set forth in Sections 6.2(a), (b7.2(a) and (c7.2(b) have been satisfiedsatisfied (the “Company Certificate”).

Parent shall have received at the Closing (i) a certificate signed on behalf of the Company by a senior executive officer of the Company to the effect that the conditions set forth in Sections 6.2(a), (b) and (c) have been satisfiedsatisfied and (ii) a complete and duly executed certificate of the Company satisfying the requirements of Treasury Regulation section 1.1445-2(e)(3).
