Common use of Commercial Activity; Absence of Immunity Clause in Contracts

Commercial Activity; Absence of Immunity. The Loan Parties are subject to civil and commercial law with respect to their obligations under the Transaction Documents, and the making and performance of the Transaction Documents by the Loan Parties constitute private and commercial acts rather than public or governmental acts. The Loan Parties are not entitled to any immunity on the ground of sovereignty or the like from the jurisdiction of any court or from any action, suit, setoff or proceeding, or the service of process in connection therewith, arising under the Financing Documents.

The None of the Loan Parties are not entitled to or any of their respective Subsidiaries nor any of their respective Properties has any immunity rights on the ground grounds of sovereignty or the like otherwise from the jurisdiction of any court or from any action, suit, setoff set-off or proceeding, or the service of process in connection therewith, arising under the Financing Loan Documents.
