Co-operation, etc. The Parties acknowledge that each Shareholder has a legal interest in the Company and that the Company is owned and operated by the Shareholders for their co-operative benefit, and is independent of any ownership, control or influence outside the Shareholders. The Parties and the Company undertake to operate in such a way that they meet all of the conditions of the VAT Cost Sharing Exemption (as described in Part 2 of the Schedule).
