Common use of Close Company Clause in Contracts

Close Company. 8.9.1 The Company is a close company for Taxation purposes. 8.9.2 The Company has no loan outstanding to which the provisions of sections 419 and 420 Taxes Act would apply. 8.9.3 The Company has not held and does not hold shares in a company not being another member of a group of companies (including the Company) as defined in section 170 TCGA which has made any such transfer as was referred to in section 125 TCGA. 8.9.4 The Company has not made any transfers of value within section 94 IHTA.
