Common use of City Representative Clause in Contracts

City Representative. The CITY's Director of Public Works or any of his authorized designee(s) for the Project, including but not limited to the Project Manager, may act as the CITY's agent with respect to the Services to be rendered by the CONSULTANT hereunder, and, except as expressly set forth below, shall have full authority to take all actions on behalf of the CITY related to this Contract, including but not limited to transmitting all instructions, receiving information, notifying CONSULTANT of any breaches of this Contract or improperly performed work, and communicating the CITY's policies and decisions to the CONSULTANT. The CITY’s Director of Public Works’ authority to act shall be in addition to any authority granted to specific CITY employees in other sections of this Agreement. Any action that may be taken by the CITY’s Director of Public Works or his designee related to this Contract, may also be taken by the CITY’s Chief Procurement Officer or his designee. Notwithstanding the preceding, any final action by the CITY to terminate this Contract in whole, whether for cause or convenience, may only be taken by the CITY’s Chief Procurement Officer or his designee; provided, however, that nothing herein shall be deemed to preclude the Director of Public Works or his designee from suspending work or terminating work, in whole or in part, under a particular Services Authorization.
