Common use of Citibank and Affiliates Clause in Contracts

Citibank and Affiliates. With respect to its Commitment, Citibank shall have the same rights and powers under this Agreement and under the other Loan Documents as any other Bank and may exercise the same as though it were not the Administrative Agent, and the term “Bank” or “Banks” shall, unless otherwise expressly indicated, include Citibank in its individual capacity. Citibank and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, and generally engage in any kind of business with, the Borrower, the Guarantor, any of their Subsidiaries and any Person who may do business with or own securities of the Borrower, the Guarantor, or any such Subsidiary, all as if Citibank were not the Administrative Agent and without any duty to account therefor to the Banks.

With respect to its CommitmentCommitments, the Obligations owing to it under any Financing Document by any AYE Borrower or any AESC Company, Citibank shall have the same rights and powers under this Agreement and under the other Loan Financing Documents as any other Bank Financing Party party thereto, and may exercise the same as though it were not the Administrative Intercreditor Agent, and the term “Bank” or “Banks” shall, unless otherwise expressly indicated, include Citibank in its individual capacity. Citibank and its Affiliates affiliates may accept deposits from, lend money to, act as trustee under indentures of, accept investment banking engagements from and generally engage in any kind of business with, the Borrower, the GuarantorParent, any of their its Subsidiaries and any Person who that may do business with or own securities of the Borrower, the GuarantorParent, or any such Subsidiary, all as if Citibank were not the Administrative Intercreditor Agent and without any duty to account therefor to the BanksFinancing Parties.
