Common use of Changes to Statements of Work Clause in Contracts

Changes to Statements of Work. Either Party may propose the additional of new activities to be conducted under the Statement of Work, variations in the details of a Statement of Work or the underlying Budget to such Statement of Work if such Party determines that such change would be beneficial to the Study or the work performed under such Statement of Work by requesting such variations to the other Party (each such a “Change Request”). For the avoidance of doubt, if Institution or Investigator wishes to make such a Change Request, such Change Request may be transmitted by email to Foundation’s principal point of contact for contracting as set forth in Section 1(a). Each Change Request will detail the requested changes to the applicable tasks, responsibility, duty, Budget, time line or other matter under the Statements of Work. A Change Request will become effective as an amendment to such Statement of Work only upon the execution of a formal amendment by each Party’s authorized representatives detailing the changes in such Change Request that have been agreed by the Parties. Each Party agrees to act in good faith and promptly when considering a Change Request from the other Party. Notwithstanding the foregoing, modifications to the Statement of Work will be subject to Foundation’s written approval, in its sole discretion.
