Change Proposal Request. At any time and from time to time prior to Final Completion of the Work, Owner may request Contractor to make Changes in the Work. If Owner desires a Change in the Work Owner may, in its sole and absolute discretion and in writing, request a Change Proposal from Contractor (“Change Proposal Request”). A Change Proposal Request shall set out, in reasonable detail, the Changes in the Work requested by Owner. Within ten (10) days following its receipt of a Change Proposal Request, Contractor shall issue a Change Proposal (as defined in Section 18.3.1 below). Contractor shall also issue a Change Proposal: (i) when Contractor reasonably believes that a Change in the Work is necessary or desirable; or (ii) when a Change in the Work is made necessary by Laws. If Contractor refuses or fails to timely provide a Change Proposal, or modifies or alters a Change Proposal Request, or if Owner and Contractor are unable to agree in writing upon the terms of the Change Proposal, including but not limited to: (i) the amount of increase or decrease in the Guaranteed Maximum Price, or (ii) the length of extension or advancement, if any, of the Contract Time, Owner: (a) may issue a Construction Change Directive pursuant to Section 18.4 hereof, (b) may require Contractor to obtain at least three bids from qualified subcontractors to perform such Change in the Work, and Owner may designate the subcontractor from said bidders to perform such Change in the Work, or (c) may engage other contractors, subcontractors and/or laborers to perform such Change in the Work, and Contractor shall cooperate fully with any such persons, and any such hiring by Owner or issuance of a Construction Change Directive shall not affect this Agreement in any manner (other than to provide for a reduction in the Guaranteed Maximum Price, equal to the value of such Work (but not less than the amount budgeted therefor in the Guaranteed Maximum Price) not being performed by Contractor, and in the Contractor’s Fee applicable thereto) and shall not be deemed to be a constructive termination.
Change Proposal Request. A "Change Proposal Request" (or "CPR") is a document issued by Owner to the Architect or the CM/GC (the “CPR Recipient”) that sets forth proposed changes in the Work or Services and requests the CPR Recipient’s estimate of pricing and resulting schedule impact. Promptly upon determining that a change in the Work or Services is being considered and prior to issuing a CPR, Owner shall discuss the proposed CPR with the Core Group in order to determine the potential impact on the current plan for execution of the Work and Services. After such conversation and provided Owner determines that issuance of the CPR is in the best interest of the Project, a CPR will be delivered to the Core Group and the CPR Recipient.
Change Proposal Request. A Change Proposal Request ("CPR") defines proposed changes in the Work and requests pricing and schedule information from CM/GC. Promptly upon determining that a Change is being considered and prior to issuing a CPR, Owner shall discuss the proposed CPR with CM/GC and Architect in order to determine the potential impact on the current plan for execution of the Work. After such conversation and provided Owner determines that issuance of the CPR is in the best interest of the Project, a CPR will be delivered to CM/GC.
Change Proposal Request. Contractor may provide written notice to Owner requesting Owner’s consideration of certain events that Contractor believes have or will result in a change in Contractor’s Work (“Change Proposal Request”). No Change Proposal Request, including requests which are based upon Owner Directives, RFI’s, verbal directives and/or issues that are pursued as Change Order Claims, as hereinafter defined, will be deemed complete until the Change Proposal Request has been finalized as an approved Change Order.
