Change in Business Relationships. None of the Company or any Company Subsidiary has received notice (whether written or, to the Knowledge of the Company or any Company Subsidiary, oral), whether on account of the transactions contemplated by this Agreement or otherwise, (a) that any customer, agent, Representative, supplier, vendor or business referral source of the Company or any Company Subsidiary intends to discontinue, diminish or change its relationship with the Company or any Company Subsidiary, the effect of which would be material to the business, assets or operations of the Company or any Company Subsidiary, or (b) that any executive officer of the Company or any Company Subsidiary intends to terminate or substantially alter the terms of his or her employment. There have been no complaints or disputes (in each case set forth in writing) with any customer, employee, agent, Representative, supplier, vendor, business referral source or other parties that have not been resolved which are reasonably likely to be material to the business, assets or operations of the Company or any Company Subsidiary.
Change in Business Relationships. As of the date of this Plan of Merger, no director or executive officer of Company has Knowledge, whether on account of the Merger or otherwise, that any customer, agent, representative, supplier of Company or any Company Subsidiary, or other person with whom Company or any Company Subsidiary has a contractual relationship, intends to discontinue, diminish, or change its relationship with Company or any Company Subsidiary, the effect of which would reasonably be expected to have a Company Material Adverse Effect.
Change in Business Relationships. Since June 30, 2012, the Minority Bank has not received notice (whether written or, to the knowledge of the Minority Bank, oral), whether on account of the transactions contemplated by this Agreement or otherwise, (a) that any customer, agent, representative, supplier, vendor or business referral source of the Minority Bank intends to discontinue, diminish or change its relationship with the Minority Bank, the effect of which would be material to the Minority Bank, or (b) that any executive officer of the Minority Bank intends to terminate or substantially alter the terms of his or her employment. There have been no complaints or disputes (in each case set forth in writing) with any customer, employee, agent, representative, supplier, vendor, business referral source or other parties that have not been resolved which are reasonably likely to be material to the Minority Bank.
Change in Business Relationships. Since June 30, 2012, neither First Community nor the Wholly Owned Bank has received notice (whether written or, to the knowledge of First Community, oral), whether on account of the transactions contemplated by this Agreement or otherwise, (a) that any customer, agent, representative, supplier, vendor or business referral source of First Community or the Wholly Owned Bank intends to discontinue, diminish or change its relationship with First Community or the Wholly Owned Bank, the effect of which would be material to First Community or the Wholly Owned Bank, or (b) that any executive officer of First Community or the Wholly Owned Bank intends to terminate or substantially alter the terms of his or her employment. There have been no complaints or disputes (in each case set forth in writing) with any customer, employee, agent, representative, supplier, vendor, business referral source or other parties that have not been resolved which are reasonably likely to be material to the First Community or the Wholly Owned Bank.
Change in Business Relationships. As of the date of this Plan of Merger, the Company has no Knowledge, whether on account of the Merger or otherwise, that any customer, agent, representative, supplier of Company or any Company Subsidiary, or other person with whom Company or any Company Subsidiary has a contractual relationship, intends to discontinue, diminish, or change its relationship with Company or any Company Subsidiary, the effect of which would reasonably be expected to have a Company Material Adverse Effect.
Change in Business Relationships. Except as set forth in Section 3.16 of the Seller Disclosure Schedule, neither the Seller, Utility, Development nor Xxxxxxxx, nor any Company Subsidiary, has knowledge of any event or circumstance that indicates that, whether on account of the transactions contemplated by this Agreement or otherwise, any customer, agent, representative or supplier of the Seller (in respect of the Company), Utility, Development or Xxxxxxxx, or any Company Subsidiary, intends to discontinue, diminish or change its relationship with the Seller, Utility, Development or Xxxxxxxx, or any Company Subsidiary, in any way that would be reasonably likely to have a Company Material Adverse Effect.

Change in Business Relationships. Neither CFSB nor any of CFSB's subsidiaries has notice, whether on account of the Merger or other- wise, that: (a) any customer, agent, representative, or supplier of CFSB or any of CFSB's subsidiaries intends to discontinue, diminish, or change its relationship with CFSB or any of CFSB's subsidiaries, the effect of which would have a Material Adverse Effect on CFSB; or (b) any executive officer of CFSB or any of CFSB's subsidiaries intends to terminate his or her em- ployment.
Change in Business Relationships. Neither Company nor any of Company's Subsidiaries has notice, whether on account of the Merger or otherwise, that (i) any customer, agent, representative, or supplier of Company or any of Company's Subsidiaries intends to discontinue, diminish, or change its relationship with Company or any of Company's Subsidiaries, the effect of which would be material to the business of Company or any of Company's Subsidiaries; or (ii) any executive officer of Company or any of Company's Subsidiaries intends to terminate his or her employment.
Change in Business Relationships. Except as disclosed in Section 2.18 of the Disclosure Schedule, neither Consumers nor any of its subsidiaries has knowledge of any event or circumstance that indicates that, whether on account of the transactions contemplated by this Agreement or otherwise, any customer, agent, representative or supplier of Consumers or any of its subsidiaries intends to discontinue, diminish or change its relationship with Consumers or any of its subsidiaries in any way that would be reasonably likely to have a Material Adverse Effect.
