Common use of Certificates of the Trustee Clause in Contracts

Certificates of the Trustee. In the event that the Issuers wish to release Collateral in accordance with the Security Documents at a time when the Trustee is not itself also the Collateral Agent and have delivered the certificates and documents required by the Security Documents and Sections 10.03 and 10.04 hereof, the Trustee will determine whether it has received all documentation required by TIA ss. 314(d) in connection with such release and, based on such determination and the Opinion of Counsel delivered pursuant to Section 10.04(2), will deliver a certificate to the Collateral Agent setting forth such determination.

Certificates of the Trustee. In the event that the Issuers wish Company wishes to release Collateral in accordance with the Security Documents at a time when the Trustee is not itself also the Collateral Agent and have has delivered the certificates and documents required by the Security Documents and Sections Section 10.03 and 10.04 hereof, the Trustee will determine whether it has received all documentation required by TIA ss. 314(d) in connection with such release andTrustee, based on such determination and the any Opinion of Counsel delivered pursuant to Section 10.04(2)12.02 hereof, will deliver a certificate and written direction to the Collateral Agent setting forth such determinationthat based on the documents received, the applicable Collateral may be so released and directing the Collateral Agent to do so.

In the event that the Issuers wish Company wishes to release Collateral in accordance with the Security Collateral Documents at a time when the Trustee is not itself also the Collateral Agent and have has delivered the certificates and documents required by the Security Collateral Documents and Sections 10.03 and 10.04 hereof, the Trustee will determine whether it has received all documentation required by TIA ss. 314(d) in connection with such release andTrustee, based on such determination and the Opinion of Counsel delivered pursuant to Section 10.04(2)) hereof, will deliver a certificate to the Collateral Agent setting forth directing such determinationrelease.

In the event that the Issuers wish Company wishes to release the Collateral in accordance with the Security Collateral Documents at a time when the Trustee is not itself also the Collateral Agent and have has delivered the certificates and documents required by the Security Collateral Documents and Sections 10.03 10.04, 10.05 and 10.04 hereof10.06 to the Trustee, the Trustee will determine whether it has received all documentation required by TIA ss. 314(d) in connection with such release and, based on such determination and certification and, if applicable, the Opinion of Counsel delivered pursuant to Section 10.04(2)10.05, will deliver a certificate to instruct the Collateral Agent setting forth such determinationAgents to release the Collateral.

In the event that the Issuers wish Issuer wishes to release Collateral in accordance with the Security Documents at a time when the Trustee is not itself also the Collateral Agent Document and have has delivered the certificates and documents required by the Security Documents such Collateral Document and Sections 10.03 11.04 and 10.04 hereof, the Trustee will determine whether it has received all documentation required by TIA ss. 314(d) 11.05 hereof in connection with such release andrelease, based on such determination and the Opinion of Counsel delivered pursuant to Section 10.04(2), will Trustee shall deliver a certificate to the Collateral Agent setting forth that it has received all such determinationdocumentation.
