Common use of Certificates for the Firm Shares Clause in Contracts

Certificates for the Firm Shares. The Company shall make the certificates for the Firm Shares available to the Underwriter not later than 12:00 p.m., New York time, on the business day preceding the First Closing Date at such location within New York City as may be designated by the Underwriter. If the Underwriter so elects, delivery of the Firm Shares may be made by credit through full fast transfer to the accounts at The Depository Trust Company designated by the Underwriter.
