Certain Pre-Closing Actions. (a) The Company shall use reasonable best efforts to deliver all notices and take all other actions that are required to terminate, in accordance with the terms thereof, the Common Stock Sales Agreement, dated as of August 9, 2024, between the Company and TD Securities (USA) LLC, prior to the Effective Time. (b) The Company shall take the actions set forth on Section 6.17(b) of the Company Disclosure Letter.
