Common use of Certain Deductions by the Administrative Agent Clause in Contracts

Certain Deductions by the Administrative Agent. If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b), Section 2.08(d), Section 2.08(e) or Section 4.02, or otherwise hereunder, then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender to satisfy such Lender’s obligations under such Sections until all such unsatisfied obligations are fully paid or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunder, in the case of each of (i) and (ii) above, in any order as determined by the Administrative Agent in its discretion.

Certain Deductions by the Administrative Agent. If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.04(e), Section 2.08(d), Section 2.08(e2.05(b) or Section 4.02, or otherwise hereunder2.18(e), then the Administrative Agent may, in its sole discretion (and notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender for the benefit of the Administrative Agent or any applicable Issuing Lenders to satisfy such Lender’s obligations to it under such Sections Section until all such unsatisfied obligations are fully paid or and/or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderunder any such Section, in the case of each of clauses (i) and (ii) above, in any order as determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant hereunder to Section 2.05(b)or for the account of the Administrative Agent, Section 2.08(d), Section 2.08(e) any Issuing Lender or Section 4.02, or otherwise hereunderany Swingline Lender, then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender to satisfy such Lender’s obligations under in respect of such Sections payment until all such unsatisfied obligations are fully paid have been discharged or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderpursuant to this Agreement (including pursuant to Sections 2.05(c), 2.06(e), 2.06(f), 2.07(b), 2.18(e) and 10.03(c)), in the each case of each of (i) and (ii) above, in any such order as shall be determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.05(a), Section 2.08(d2.07(d), Section 2.08(e) or 2.07(e), Section 4.02, 4.02 or otherwise hereunder, hereunder then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (ia) apply any amounts thereafter received by the Administrative Agent for the account of such Lender and for the benefit of the Administrative Agent or the Issuing Bank to satisfy such Lender’s obligations under such Sections hereunder until all such unsatisfied obligations are fully paid or and/or (iib) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunder, in the case of each of (ia) and (iib) above, in any order as determined by the Administrative Agent in its discretion.

Credit Agreement

If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.04(a), Section 2.08(d), Section 2.08(e2.07(f) or Section 4.02, or otherwise hereunder, then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender to satisfy such Lender’s obligations under such Sections until all such unsatisfied obligations are fully paid or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunder, in the case of each of clauses (i) and (ii) above, in any order as determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant hereunder to Section 2.05(b), Section 2.08(d), Section 2.08(e) or Section 4.02, for the account of the Administrative Agent or otherwise hereunderany Issuing Lender, then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender to satisfy such Lender’s obligations under in respect of such Sections payment until all such unsatisfied obligations are fully paid have been discharged or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderpursuant to this Agreement (including pursuant to Sections 2.06(e), 2.06(f), 2.07(b), 2.18(e) and 10.03(c)), in the each case of each of (i) and (ii) above, in any such order as shall be determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.05(e), Section 2.08(d), Section 2.08(e2.06(b) or Section 4.02, or otherwise hereunder2.16(e), then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender for the benefit of the Administrative Agent or any Issuing Lender to satisfy such Lender’s obligations to it under such Sections until all such unsatisfied obligations are fully paid or paid, and/or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderunder any such Section, in the case of each of clauses (i) and (ii) aboveof this sentence, in any order as determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.05(a), Section 2.08(d4.02 or 12.03(c), Section 2.08(e) or Section 4.02, or otherwise hereunder, then the Administrative Agent may, in its sole discretion (and notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender and for the benefit of the Administrative Agent to satisfy such Lender’s obligations under such Sections until all such unsatisfied obligations are fully paid or paid, and/or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunder, under such Sections; in the case of each of (i) and (ii) above, in any order as determined by the Administrative Agent in its discretion.

If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.01(c), Section 2.08(d), Section 2.08(e2.06(d) or Section 4.02, or otherwise hereunder9.03(c), then the Administrative Agent may, in its sole discretion (and notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender and for the benefit of the Administrative Agent to satisfy such Lender’s obligations under such Sections until all such unsatisfied obligations are fully paid or paid, and/or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderunder such Sections, in the case of each of clauses (i) and (ii) above, in any order as determined by the Administrative Agent in its discretion.

Certain Deductions by the Administrative Agent. If any Lender shall fail to make any payment required to be made by it pursuant to Section 2.05(b2.05(a), Section 2.08(d4.02, Section 5.03(f), Section 2.08(e) 11.10 or Section 4.02, or otherwise hereunder12.03(c), then the Administrative Agent may, in its sole discretion (notwithstanding any contrary provision hereof), (i) apply any amounts thereafter received by the Administrative Agent for the account of such Lender for the benefit of the Administrative Agent to satisfy such Lender’s obligations to it under such Sections until all such unsatisfied obligations are fully paid or paid, and/or (ii) hold any such amounts in a segregated account as cash collateral for, and application to, any future funding obligations of such Lender hereunderunder any such Section, in the case of each of clauses (i) and (ii) above, in any order as determined by the Administrative Agent in its sole discretion.
