Certain Contributions. Promptly following the Effective Time Parent will (i) transfer all of the SNC Common Stock of the Surviving Corporation to Havas Advertising International ("International") and cause International to transfer all of such stock to EWDB North America, Inc. ("US Parent"), in each case as a contribution to capital and (ii) cause US Parent to contribute to the SNC Group (as such term is defined in the Surviving Corporation's certificate of incorporation) a note receivable from US Parent in the principal amount of not less than $500,000,000.
