Certain Accounting Issues. To Seller's Knowledge, as of the date hereof, the SEC has not objected to any of Seller's accounting policies, procedures or practices, or any of the accounting policies, procedures or practices of Qwest which relate to or impact the Holding Financial Statements or otherwise indicated that any of such policies, procedures or practices are not in accordance with GAAP and the applicable requirements of the SEC, other than with respect to matters that have been conformed to the SEC's requests addressed or reflected in Holding Audited Financial Statements (it being understood that, to Seller's Knowledge, the Xxxxxx Transferred Business Financial Statements will address or reflect such matters to the same extent).

  • Certain Accounting Matters (a) At all times during the existence of the Trust, the Administrative Trustees shall keep, or cause to be kept at the principal office of the Trust in the United States, as defined for purposes of Treasury Regulations section 301.7701-7, full books of account, records and supporting documents, which shall reflect in reasonable detail each transaction of the Trust. The books of account shall be maintained on the accrual method of accounting, in accordance with generally accepted accounting principles, consistently applied.

Notwithstanding the foregoing, leases shall continue to be classified and accounted for on a basis consistent with that reflected in the financial statements of the Borrower for the fiscal year ended December 31, 2018 for all purposes, notwithstanding any change in GAAP relating thereto, including with respect to Accounting Standards Codification 842.
