Common use of Cash Bonuses Clause in Contracts

Cash Bonuses. In addition to Base Salary, for each full Fiscal Year during the Term of Employment, the Executive shall be eligible to earn an annual cash bonus (“Annual Bonus”) in accordance with the terms hereof and the terms of any annual cash bonus incentive plan maintained for the Company’s key executive officers, as amended from time to time (the “Cash Bonus Plan”). Except as provided in Section 6 of this Agreement, the Executive will not be eligible to receive an Annual Bonus for a Fiscal Year unless the Executive remains in continuous employment with the Company through the date on which such Annual Bonus is paid. During the first quarter of each Fiscal Year, the Compensation Committee, in consultation with the Board, shall establish threshold, target, and maximum performance goals for such Fiscal Year in accordance with the terms of the Cash Bonus Plan. If the target performance goals for a Fiscal Year are attained, then the Annual Bonus for such Fiscal Year shall be not less than 20% of the Executive’s Base Salary and if the maximum performance goals for a Fiscal Year are attained, the Annual Bonus for such Fiscal Year shall be equal to 100% of the Executive’s Base Salary, unless the Compensation Committee (with approval from the Board) determines extraordinary circumstances justify a larger Annual Bonus. At the conclusion of the Fiscal Year the Compensation Committee will review performance relative to the performance goals and if the Compensation Committee determines that the Executive has earned an Annual Bonus for a Fiscal Year, the Company will pay the Annual Bonus to the Executive on or before March 15 of the year following the end of the year for which the Annual Bonus is earned.

At the conclusion of the Fiscal Year the Compensation Committee will review performance relative to the performance goals and if the Compensation Committee determines that the Executive has earned an Annual Bonus for a Fiscal Year, the Company will pay the Annual Bonus to the Executive on or before March 15 the next regularly scheduled payroll payment date following the release of the year Company’s annual earnings report for such Fiscal Year but in no event later than the 15th day of the third calendar month following the end of the year for which the Annual Bonus is earnedsuch Fiscal Year.
