Common use of Bylaws and Resolutions Clause in Contracts

Bylaws and Resolutions. For each Credit Party, (a) such Person's bylaws or similar document and if a party thereto or bound thereby, each shareholders' agreements together with all amendments thereto and (b) resolutions of such Person's Board of Directors or Stockholders, where applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person's bylaws or similar document and if a party thereto or bound therebybylaws, each shareholders' agreements together with all amendments thereto (or certification that the same have not changed from the version last certified to Agent in connection with the Prior Credit Agreement) and (b) resolutions of such Person's Board of Directors or Stockholders, where applicableDirectors, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Effective Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person's bylaws ’s bylaws, operating agreement or similar document and if a party thereto or bound therebylimited partnership agreement, each shareholders' agreements as the case may be, together with all amendments thereto and (b) resolutions of such Person's ’s Board of Directors and stockholders, members or Stockholderspartners, where applicableas the case may be, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's ’s corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person's bylaws bylaws, operating agreement or similar document and if a party thereto or bound therebylimited partnership agreement, each shareholders' agreements as applicable, together with all amendments thereto and (b) resolutions of such Person's Board of Directors or StockholdersDirectors, where members, stockholders, managers and/or partners, as applicable, approving and authorizing the execution, delivery and performance of the Loan Letter of Credit Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party to a Loan Document (other than an Excluded Credit Party), (a) such Person's ’s bylaws or similar document and if a party thereto or bound therebythe foreign equivalent thereto, each shareholders' agreements together with all amendments thereto and (b) resolutions of such Person's ’s Board of Directors or Stockholders, stockholders where applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's ’s corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, in form and substance reasonably acceptable to Administrative Agent and Co-Syndication Agents, (ai) such Person's bylaws or similar document and if a party thereto or bound therebybylaws, each shareholders' agreements together with all amendments thereto and (bii) resolutions of such Person's Board of Directors or Stockholdersand stockholders, where applicableif required, approving and authorizing the execution, delivery and performance of the Credit Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person's bylaws or similar document ’s bylaws, and if a party thereto or bound therebyall charter documents including partnership and/or operating agreements, each shareholders' agreements together with all amendments thereto and (b) resolutions of such Person's ’s Board of Directors or StockholdersDirectors, where partners, members and stockholders, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's ’s corporate secretary or an assistant secretary or other authorized Person as being in full force and effect without any modification or amendment.
