Common use of Bylaws and Resolutions Clause in Contracts

Bylaws and Resolutions. For each Credit Party, (a) such Person’s bylaws, operating agreement, limited liability company agreement or limited partnership agreement, as applicable, together with all amendments thereto and (b) resolutions of such Person’s members or board of directors, as the case may be, and, to the extent required under applicable law, stockholders, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate secretary or an assistant secretary, managing member, manager or equivalent senior officer, as applicable, as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws, 's bylaws and all charter documents including partnership and/or operating agreement, limited liability company agreement or limited partnership agreement, as applicableagreements, together with all amendments thereto and (b) resolutions of such Person’s 's Board of Directors and partners, members or board of directorsand stockholders, as the case may be, and, to the extent required under applicable law, stockholdersapplicable, approving and authorizing the execution, delivery and performance of the Loan Documents required to be executed and delivered on the Restatement Closing Date to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Restatement Closing Date by such Person’s 's corporate or organizational secretary or an assistant secretary, managing member, manager or equivalent senior officer, as applicable, secretary as being in full force and effect without any modification or amendment.
