BY JTA. Subject to ABX's compliance with Section 3.3, JTA agrees to indemnify, defend and hold ABX and its Affiliates and their directors, officers, employees, and agents harmless from and against any losses, claims, damages, liabilities, or actions resulting directly from any Third Party claims (collectively, "Liabilities") arising from the breach of any representations, warranties, covenants or other obligations of JTA under this Agreement, except to the extent that such Liabilities arise from ABX's breach of any of its representations, warranties, covenants or other obligations under this Agreement.
