Common use of By Google Clause in Contracts

By Google. Google will defend and indemnify, or at its option settle, Customer from and against all liabilities, damages, and costs, arising out of a third party claim that the Services used in accordance with the Documentation and the Agreement infringes any patent, copyright, trade secret or trademark of that third party.

By Google. Google will defend and indemnify, or at its option settledefend, and hold harmless Customer from and against all liabilities, damages, and costs, costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim that the technology used to provide the Services used in accordance with the Documentation and the Agreement infringes or misappropriates any patent, copyright, trade secret or trademark of that third party.

By Google. Google will defend and indemnify, or at indemnify Customer and its option settle, Customer Afiliates against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising solely from and against all liabilities, damages, and costs, arising out an Allegation that use of a third party claim that (a) Google's technology used to provide the Services used in accordance with the Documentation and the Agreement infringes any patent, copyright, trade secret or trademark of that third party.or

By Google. Google will defend and indemnify, or at its option settledefend, and hold harmless Customer from and against all liabilities, damages, and costs, costs (including settlement costs and reasonable attorneys' fees) arising out of a third party claim that the Products or the technology used to provide the Services used in accordance with the Documentation and the Agreement infringes or mis- appropriates any patent, copyright, trade secret or trademark of that third party.

By Google. Google will defend and indemnify, or at indemnify Customer and its option settle, Customer Affiliates against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising solely from and against all liabilities, damages, and costs, arising out an Allegation that use of a third party claim that (a) Google’s technology used to provide the Services used in accordance with (excluding any open source software) or (b) any Google Brand Feature infringes or misappropriates the Documentation and the Agreement infringes any third party’s patent, copyright, trade secret secret, or trademark of that third partytrademark.

By Google. Subject to Section 9.2, Google will defend and indemnify, or at its option settledefend, and hold harmless Customer from and against all liabilities, proven damages, liabilities and costs, costs (including settlement costs with Google’s consent and reasonable attorneys’ fees) arising out of a third party claim that the Services used in accordance with the Documentation and the Agreement infringes or misappropriates any patent, copyright, trade secret or trademark of that third party.
