Buyer Closing Certificate. Seller shall have received a certificate, dated the Closing Date and signed by a duly authorized officer of Buyer, that each of the conditions set forth in Section 6.2(a) and Section 6.2(b) have been satisfied (the “Buyer Closing Certificate”).
Buyer Closing Certificate. Seller shall have received a certificate, duly executed by an authorized officer of Buyer, certifying as to the matters set forth in Section 3.3(c)(i) and Section 3.3(c)(ii).
Buyer Closing Certificate. Buyer Closing Certificate" shall mean the Closing Certificate of the Buyer in substantially the form of ANNEX B attached to this Agreement.
Buyer Closing Certificate. Buyer will have delivered to the Company and Shareholder a certificate of Buyer, in the form attached hereto as Exhibit 5.1(f), dated as of the Closing Date to the effect that each of the conditions specified above in Section 5.1(a) and Section 5.1(b) have been satisfied (the “Buyer Closing Certificate”).
Buyer Closing Certificate. The Sellers shall have received a certificate dated as of the Closing Date, duly executed by an authorized officer of the Buyer, certifying as to the satisfaction of the conditions set forth in Section 3.3(c)(i) and Section 3.3(c)(ii) (the “Buyer Closing Certificate”).
Buyer Closing Certificate. The Stockholders’ Representative shall have been furnished with a certificate executed by an officer of Buyer (the “Buyer Closing Certificate”), dated the Closing Date, certifying that the conditions set forth in Sections 9.1 and 9.2 have been fulfilled (or waived) at or prior to the Closing Date.
Buyer Closing Certificate. An authorized officer of Buyer shall have executed and delivered to Partnership a certificate (the “Buyer Closing Certificate”) to the effect that the conditions set forth in Section 8.2(a), Section 8.2(b) and Section 8.2(c) have been satisfied.
Buyer Closing Certificate. Buyer shall have executed and delivered to Seller a certificate, executed by the President of Buyer, that each of the conditions set forth in Sections 8.2(a) and (b) have been satisfied by Buyer in all respects.
Buyer Closing Certificate. Buyer and Merger Sub have delivered to the Company and the Representative a certificate signed by a duly authorized officer of Buyer and Merger Sub, in the form of Exhibit G and dated as of the Closing Date, stating that the conditions set forth in Section 7.03(a) and Section 7.03(b) have been satisfied.
Buyer Closing Certificate. Buyer and TLSS will have delivered to the Company and Shareholder a certificate of Buyer and TLSS, dated as of the Closing Date to the effect that each of the conditions specified above in Section 5.1(a) and Section 5.1(b) have been satisfied (the “Buyer Closing Certificate”).
