Certificate of Buyer. Seller shall have been provided with a certificate duly executed on behalf of Buyer to the effect that, as of the Closing Date:
Certificate of Buyer. Seller shall have received a certificate signed by a duly authorized officer of Buyer confirming the matters set forth in Section 7.2(a) and Section 7.2(b) as of the Closing Date.
Certificate of Buyer. The Buyer shall have delivered to the Company a certificate, executed by an executive officer and dated the Closing Date, certifying in such detail as counsel for the Company may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 8.1 through 8.2 above.
Certificate of Buyer. Buyer shall have delivered to Seller a Certificate, dated as of the Closing, certifying as to the fulfillment of the conditions specified in Sections 9.2 and 9.3 hereof.
Certificate of Buyer. Buyer shall have delivered to Seller a certificate, which shall be signed by an authorized officer of Buyer, certifying that the conditions set forth in Sections 9.2(a) through (c) have been satisfied.
Certificate of Buyer. Seller shall have received a certificate executed by a duly authorized officer of Buyer to the effect that, as of the Closing Date, each of the conditions specified in Sections 5.02(a) and (b) have been satisfied.
Certificate of Buyer. The Company shall have received a certificate, validly executed by an officer of Buyer, which represents that the conditions to the obligations set forth in this Section 8.3 with respect to the Closing have been satisfied in full (unless otherwise waived in accordance with the terms hereof) (the “Buyer Certificate”).
Certificate of Buyer. There shall be delivered to Shareholder a certificate dated as of the Closing Date and signed by an officer of Buyer to the effect set forth in Sections 6.1 and 6.2 which certificate shall have the effect of a representation and warranty made by Buyer on and as of the Closing Date.
Certificate of Buyer. The Buyer shall have delivered to the Sellers in writing, at and as of the Closing, a certificate duly executed by the President of the Buyer, in form and substance reasonably satisfactory to the Sellers and their counsel, to the effect that the conditions in each of Sections 7.1 and 7.2 hereof have been satisfied.
Certificate of Buyer. At the Closing, Buyer shall have delivered to Seller a Certificate signed by the President or a Vice President of Buyer, and attested to by the Secretary or an Assistant Secretary of Buyer, and dated the Closing Date, to the effect that to the best of the knowledge of such officers the conditions specified in Section 6.2(a), (b) and (c) have been fulfilled.
