Common use of Business Licenses Clause in Contracts

Business Licenses. SCHEDULE 1.2.5 attached hereto, is a schedule of all material Business Licenses owned by Seller or in which Seller has any rights or licenses in connection with the Product Line, together with a brief description of each. Seller is in compliance in all material respects with the terms of the Business Licenses, except for such violations which, alone or in the aggregate, do not and will not have a material adverse effect on the ability to conduct the business associated with the Product Line. None of the Business Licenses have been, or, to the knowledge of Seller, are threatened to be, revoked, canceled, suspended or modified.

Business Licenses. Seller owns or holds adequate licenses or other rights to use all licenses necessary for the Business as now conducted by Seller. Seller is in compliance in all material respects with the terms of the Business Licenses, except for such violations which, alone or in the aggregate, do not and will not have a material adverse effect on the ability to conduct the business associated with the Product Line. None of the Business Licenses have been, or, or to the knowledge of SellerSeller or Shareholder, are threatened to be, revoked, canceled, suspended or modified.
