Common use of BUSINESS CONDUCT AND ETHICS Clause in Contracts

BUSINESS CONDUCT AND ETHICS. Xxxxx also to the clauses herein entitled “Fraud and Falsification” and “FAR 52.203-13, Contractor Code of Business Ethics and Conduct”. The Purchaser has implemented a comprehensive Business Ethics and Conduct Program which is summarized in the General Dynamics Handbook entitled “General Dynamics Standards of Business Ethics and Conduct” which is available for viewing on-line at EB’s Web Site: xxx.xxxx.xxx (click on “Suppliers”, click on “Doing Business with EB”.) The Seller shall be familiar with this handbook and abide by its principles; in particular, Seller shall not offer any gift or gratuity to Purchaser's employees, their families, customers or their representatives in a manner inconsistent with the guidance provided in this handbook. Seller agrees that it will adhere to similar standards of ethical behavior including developing a suitable system for identifying and reporting possible violations and agrees that it will invoke similar requirements on its lower-tier subcontractors. Furthermore, any falsification, concealment, or alteration of any material fact, or any false, fraudulent or fictitious statement or representation in connection with the work under a Purchase Order within the jurisdiction of the Federal Government is not only prohibited by the Purchaser's policy, but may also be punishable under Federal Law.
