Common use of Breach of Warranty Clause in Contracts

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V), is or shall be incorrect, false or misleading when made or deemed to have been made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made by it hereunder or in under any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agents, the Documentation Agent, any other Agent the Issuer, the Arranger or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of Borrower to the Global Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any of the other Loan Document Documents, or any other writing or certificate furnished by or on behalf of Borrower or any of its other subsidiaries or its affiliates that are parties to the Administrative Agent, any other Agent or any Lender Collateral Documents for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent the Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made any Subsidiary hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of the Borrower or such Subsidiary to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of any Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of Borrower the Borrowers or any other Obligor to the Administrative Agent, any other Agent the Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent Agents or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V), is or shall be incorrect, false or misleading when made or deemed to have been made in any material respect.;

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any Guarantor made or deemed to be made hereunder herein or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower or any Guarantor to the Administrative Agent, any other Agent the Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article VI hereof) is or shall be false incorrect when made or misleading when deemed to have been made in any material respect.

Breach of Warranty. Breach of Warranty. Any representation or warranty of any Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of any Borrower or any other Obligor to the Administrative Agent, any other Agent Agents or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. (a) Any representation or warranty of the Borrower made or deemed to be made hereunder restated or remade in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false incorrect when made or misleading when deemed made in any material respect.; and

Breach of Warranty. Any representation or warranty of the Borrower or any Subsidiary made or deemed to be made hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of the Borrower (including any certificate delivered pursuant to Article VII) to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate (including the Closing Date Certificate) furnished by or on behalf of the Borrower or any other Obligor to the Administrative AgentAgents, any other Agent the Issuers, the Lead Arranger or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of Borrower to the Administrative AgentAgent (other than, for the avoidance of doubt, any KPI Metric Report, Pricing Inaccuracy Certificate or any Pricing Certificate), any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any Subsidiary made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower (including any certificate delivered pursuant to Article VII) to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made any Loan Party hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of Borrower to the Administrative Agent, or any other Agent or any Obligor to Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article 5) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of any Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of any Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article 5) is or shall be false or misleading incorrect when made in any material respect.

Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article VI) is or shall be false incorrect when made or misleading when deemed made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article VI) is or shall be false false, misleading or misleading when made incorrect in any material respectrespect when made or deemed made.

Breach of Warranty. Breach of Warranty. Any representation or warranty of Borrower made any Loan Party or deemed to be made any Guarantor hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of Borrower any Loan Party to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respectmade.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Any representation or warranty of any Borrower made or deemed to be made hereunder or in any other Loan Credit Document or any other writing or certificate furnished by or on behalf of any Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Credit Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to ARTICLE V) is or shall be false or misleading incorrect when made in any material respect.

Any representation or warranty of the Borrower or any Subsidiary made or deemed to be made hereunder hereunder, or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any Subsidiary to the Administrative Agent, any other the Collateral Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V), is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V), is or shall be false incorrect when made or misleading when deemed to have been made in any material respect.

Any representation or warranty of Borrower Borrower, any of its Subsidiaries or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of Borrower to the Administrative AgentBorrower, any other Agent of its Subsidiaries or any other Obligor to Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Any representation or warranty of the Borrower or any Subsidiary of the Borrower made or deemed to be made hereunder or in any other Loan Document to which the Borrower or such Subsidiary is a party or any other writing or certificate furnished by or on behalf of the Borrower or such Subsidiary to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article VI) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Breach of Warranty. Any representation or warranty of Holdings, the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate (including the Effective Date Certificate) furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent the Issuer or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to this Agreement) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or in any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article III) is or shall be false or misleading when made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false incorrect when made or misleading when deemed made in any material respect.

Breach of Warranty. Any representation or warranty of the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect. Breach of Warranty. Breach of Warranty. Any representation or warranty of the Borrower made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of Borrower certificates delivered pursuant to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made incorrect in any material respectrespect when made or deemed made.

Breach of Warranty. Any representation or warranty of by the Borrower or any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of the Borrower or any other Obligor to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with pursuant to this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false incorrect when made, deemed made or misleading when made furnished in any material respect.

Breach of Warranty. Any representation or warranty of Borrower made or deemed to be made hereunder or of Borrower in any Instrument, certificate or other Loan Document or any other writing or certificate document furnished by or on behalf of Borrower to the Administrative Agent, any other Agent or any Lender Bank for the purposes of or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made prove to have been incorrect in any material respectrespect when made or deemed to have been made.

Breach of Warranty. Any representation or warranty of the Borrower or the Intermediate Partnership made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of the Borrower or Intermediate Partnership to the Administrative Agent, any other Agent or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.

Breach of Warranty. Any representation representation, warranty, certification or warranty of Borrower other statement made or deemed to be made hereunder or in any other Loan Document or any other writing or certificate furnished by or on behalf of Borrower to the Administrative Agent, any other Agent or any Lender for the purposes of by Borrower in any Loan Document or in any statement or certificate at any time given by such Person in writing pursuant or in connection with this Agreement or any such other Loan Document is or shall be false or misleading when made in any material respect.respect on the date made; or

Any representation or warranty of Borrower the Borrower, any other Obligor or the Parent made or deemed to be made hereunder or in any other Loan Document executed by it or any other writing or certificate (including the Closing Date -48- 55 Certificate) furnished by or on behalf of Borrower to the Administrative AgentBorrower, any other Agent Obligor or Parent to any Agent, the Arranger or any Lender for the purposes of or in connection with this Agreement or any such other Loan Document (including any certificates delivered pursuant to Article V) is or shall be false or misleading incorrect when made in any material respect.
