Common use of Borrower Documents Clause in Contracts

Borrower Documents. Borrower shall have executed and/or delivered to Agent each of the following, in form and substance acceptable to Agent: (a) this Agreement; (b) the Loan Notes; (c) the Subsidiary Guaranty; (d) Certified copy of Borrower's Limited Partnership Agreement, as amended; (e) Certified copy of Borrower's Certificate of Limited Partnership from the Delaware Secretary of State; (f) Evidence of qualification and good standing of Borrower in Delaware and in each state where Borrower owns or manages any Unencumbered Property; (g) Certified copies of the organizational documents of each Guarantor Subsidiary; (h) Evidence of qualification and good standing of each Guarantor Subsidiary in the state of its organization and in each state where it owns any Unencumbered Property.
