Common use of Board Service Clause in Contracts

Board Service. To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To During the extent requested by the Board, during Executive’s employmentEmployment Term, Executive shall continue to serve on as a director and as Chairman of the boards of directors of any Board; provided, however, that Executive shall and hereby does resign from his service as a member of the Company Group without additional compensation thereforNomination and Governance Committee. Upon termination of the Employment Term, Executive shall resign resume service as a non-employee member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To Executive shall continue to serve as a director on the extent requested by Board of the BoardCompany, during without additional compensation except as provided in this Agreement. Upon termination of this Agreement or Executive’s employmentemployment with the Company for any reason, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall immediately resign as a member the boards of directors of any members director or officer of the Company Group at such time Company, as Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Boardapplicable.

Board Service. To During the extent requested by Term, while Executive is employed as Company’s President and Chief Executive Officer, at the Board, during Executive’s employmentrequest of Company and subject to any appointment or election requirements, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member Board and the boards of directors of any members Company’s subsidiaries, in each case without additional compensation. Upon Executive’s Termination Date, Executive shall immediately resign from the Board and all boards of the Company Group at such time as Executive ceases to hold the position directors of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by the BoardCompany’s subsidiaries.

To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and Chief Executive Human Resources Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and & Chief Executive Financial Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To The Company may nominate Executive to serve as a Board member. Executive agrees, for no additional compensation, to serve on the extent requested by Board and any committees of the Board, during Executive’s employment. Upon the end of the Term for any reason, Executive shall serve on resign from the boards of directors of Board and from any member of other offices he holds with the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) its parent company or as directed by the Boardaffiliates.

To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and Chief Executive Financial Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To During the extent requested by Term, the Board shall nominate and renominate Executive to be elected to the Company’s Board of Directors (the “Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor”). Executive shall not receive any additional compensation beyond that set forth in this Agreement for service on the Board. Upon the termination of Executive’s employment for any reason, Executive agrees to resign as a member immediately from the boards Board and from any and all other offices of directors the Company, or of any members of the Company Group at such time as affiliate, that Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Boardholds.

Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and & Chief Executive Operating Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and Chief Executive Technology Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of President and Executive Vice President, Chief Executive Officer Legal Officer, General Counsel & Corporate Secretary (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Board Service. To During the extent requested by Term, while Executive is employed as Company’s President and Chief Executive Officer, at the Board, during Executive’s employmentrequest of Company, Executive shall serve on the boards of directors of any member of the Company Group Board without additional compensation thereforcompensation. Upon Executive’s Termination Date, Executive shall immediately resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of President and Chief Executive Officer (or otherwise ceases to be employed by the Company Group) or as directed by from the Board.
