Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in for the provisions of Section 12.12.01, Section 8.03, Section 9.05 and Section 9.07, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in for the provisions of Section 12.12.01, Section 8.03, Section 9.05 and Section 9.07, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.3, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.3, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.19.06, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.19.06, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1upon, shall inure to the benefit of and shall be enforceable by the parties hereto and their respective successors and permitted assigns. Except as provided in Section 12.17.04 and except for Sections 2.02, 2.03 and 2.05 (which shall be enforceable, after the Closing, by holders of Company Stock, Company Stock Options and Company RSUs), no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and permitted assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.03, no provision of this Agreement is intended to or shall confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1Sections 7.05 and 11.08, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1Sections 7.05, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns, except that the Financing Parties shall be express third party beneficiaries of Sections 11.04(e), 11.08, 11.13(b) and 11.13(c).

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1Sections 7.04, 11.04(c) and 11.14, shall inure to solely the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1Sections 7.04, 11.04(c) and 11.14, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.2, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.2 and Section 8.5, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.05 and Section 8.18(g), shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.05 and Section 8.18(g), no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.02, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.02, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.1, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.1, no provision of this Agreement Agreement, express or implied, is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder of any nature whatsoever under or by reason of this Agreement upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.03 and this Section 11.06, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns. The Financing Sources are express third-party beneficiaries with respect to the Financing Source Provisions.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.03 and Section 11.04, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.05, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.05, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.02, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.02 and Section 8.05, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Except as provided in Section 12.17.04, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1‎Section 7.02, shall inure to the benefit of the parties hereto and their respective successors and permitted assigns. Except as provided in Section 12.1‎Section 7.02, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.02, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.02, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.16.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as expressly provided in Section 12.16.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.03, shall inure to the benefit of the parties hereto to this Agreement and their respective successors and assigns. Except as provided in Section 12.1Sections 7.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person Persons other than the parties hereto to this Agreement and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.04, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1, no No provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns, except as provided in Section 7.04.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1upon, shall inure to the benefit of and shall be enforceable by the parties hereto and their respective successors and permitted assigns. Except as provided in Articles 2 and 11 and Section 12.17.04, Section 8.12, Section 10.03, Section 14.02, Section 14.03 and Section 14.12(d), no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities Liabilities hereunder upon any Person other than the parties hereto and their respective successors and permitted assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.02 and Section 11.10, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.02 and Section 11.10, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns; provided that nothing in this Section 11.06(a) shall limit the right of the Company to seek damages as contemplated by Section 10.02.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.17.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities 50 hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.04 and this Section 12.06, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.04 and this Section 12.06, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person person other than the parties hereto and their respective successors and assigns. Notwithstanding the foregoing, the provisions of Sections 12.08(b) and 12.09 shall be enforceable by each Financing Source and its successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.03, shall inure only to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.03, no provision of this Agreement is intended to confer any legal or equitable rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1, and shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1, no No provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than (i) the parties hereto and their respective successors and assignsassigns and (ii) the Debt Financing Sources, who shall be express third party beneficiaries of Sections 9.02(b), 10.03(e), 10.04, 10.06, 10.08 and 10.09.

Except as provided in Section 12.15.09(b), Section 6.02, Section 11.01(b) and Section 11.05, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns; provided that the Financing Sources shall be express third-party beneficiaries of, and may enforce, the Financing Provisions.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.03, Section 8.06, Section 9.10(c) and Section 9.10(e), no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1, and shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.1with respect to Sections 7.05, 9.03(j), 10.07 (to the extent relating to the Debt Commitment Letters or Financing Sources), 10.08(b) and 10.09, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

(a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.18.02, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.18.02, no provision of this Agreement is intended to or shall confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Except as provided in Section 12.17.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities Liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon on and, except as provided in Section 12.1‎Section 7.03, shall inure to the benefit of the parties hereto and their respective successors and assigns. Except as provided in Section 12.17.03 and Section 11.14, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Binding Effect; Benefit; Assignment. (a) The provisions of this Agreement shall be binding upon and, except as provided in Section 12.1, and shall inure to the benefit of the parties hereto Parties and their respective successors and assigns. Except as provided in with respect to Section 12.16.05 and Article 10 (subject to Section 10.08), no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations remedies or liabilities Liabilities hereunder upon any Person other than the parties hereto Parties and their respective successors and assigns.

Except for the rights to payments pursuant to the Plan of Arrangement or as provided in Section 12.16.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.

Except as provided in Section 12.18.03, no provision of this Agreement is intended to confer any rights, benefits, remedies, obligations or liabilities hereunder upon any Person other than the parties hereto and their respective successors and assigns.
