BHFB’s Right to Connect to the Regional Sewage Solution. If within thirty (30) days after RFA obtains approval of the Revised Land Development Plans as the Preliminary Land Development Plan from the Township for the Proposed Development (and as to BHFB’s Opposition to the Proposed Development (defined below) at all times thereafter) BHFB (i) directly and indirectly ceases (and at all times continues to cease) any and all efforts to appeal, challenge, condition, delay, modify, oppose, prevent, and/or prohibit this Settlement Agreement (or any part thereof), the Proposed Development, and the approval, construction, occupancy, permitting and/or use of the Proposed Development and any governmental approvals requested or granted therefore (collectively “BHFB’s Opposition to the Proposed Development”); and (ii) notifies RFA and the Township that it elects to participate in the construction and use of the Regional Sewage Solution and posts with the Township satisfactory financial security for BHFB’s Share of Regional Sewer Costs, RFA shall cause the Regional Pump Station and the Regional Sewage Solution to be modified to include sufficient capacity to also accommodate the sewage flows from the BHFB Properties (i.e 268 apartment units) subject to receiving PADEP and other governmental approvals to construct the Regional Sewage Solution. BHFB shall not be permitted to connect to the Regional Sewage Solution until BHFB’s Share of Regional Sewer Costs have been fully paid to RFA or if BHFB’s Opposition to the Proposed Development has not permanently ceased. Notwithstanding anything to the contrary, however, RFA shall not be required to accommodate the flows from the BHFB Properties if doing so would limit availability of conveyance and/or treatment capacity for the Proposed Development (both Phase I and Phase II).

  • STATE's Right to Suspend the Operations The STATE and/or the STATE's Authorized Representative has the authority to suspend portions or all of the operations due to causes including, but not limited to:

  • Consent to Contact Primary and Secondary Contact(s). In most circumstances, Residents will be treated without reference to their parents, guardians or primary/secondary contacts (i.e. student conduct situations). However, the Manager or the Institution may contact the Primary or Secondary Contact at any time and for any purpose, including, without limitation, to advise them of (i) any accident or injury to the Resident, (ii) overdue financial payments, (iii) termination of this Agreement, and/or (iv) any situation where the Resident may cause harm to themselves or to another, or (v) if the Resident is placed on Residence Probation or issued any behavioural contract or Eviction by the Manager. The Manager or the Institution may disclose the Resident’s personal information in such communications, and the Resident hereby consents to this disclosure.

  • BUYER’S RIGHT TO CANCEL If after completion of an appraisal by a licensed appraiser, Buyer receives written notice from the Lender or the appraiser that the Property has appraised for less than the Purchase Price (a “Notice of Appraised Value”), Buyer may cancel the REPC by providing written notice to Seller (with a copy of the Notice of Appraised Value) no later than the Financing & Appraisal Deadline referenced in Section 24(c); whereupon the Xxxxxxx Money Deposit shall be released to Buyer without the requirement of further written authorization from Seller.

  • RIGHT TO SELL Assignor may not Transfer any interest in the Development Xxxxx, the Subject Interests or any part thereof or any undivided interest therein in violation of Section 11.04. Subject to Section 11.02 and 11.04, Assignor may from time to time Transfer, mortgage or pledge its interest in the Development Xxxxx, the Subject Interests, or any part thereof or undivided interest therein, if and only if (i) such Transfer, mortgage or pledge is made expressly subject to and burdened with the Royalty Interest and this Conveyance; (ii) solely in connection with a Transfer other than a Transfer pursuant to a foreclosure on any mortgage or security interest, Assignor has caused the assignee, purchaser, transferee or grantee of any such transaction to (A) acknowledge that the affected Subject Interests are taken subject to and burdened with the Royalty Interest and this Conveyance, and (B) assume and agree to discharge Assignor’s obligations under this Conveyance with respect to such Subject Interests from and after the actual date of any such Transfer; and (iii) in connection with any Transfer pursuant to a foreclosure on any mortgage or security interest, Assignor has used commercially reasonable efforts to cause the assignee, purchaser, transferee or grantee of any such transaction to (A) acknowledge that the affected Subject Interests are taken subject to and burdened with the Royalty Interest and this Conveyance, and (B) assume and agree to discharge Assignor’s obligations under this Conveyance with respect to such Subject Interests from and after the actual date of any such Transfer. Any assumption and agreement to discharge shall be by appropriate written instrument for the express benefit of and enforceable by Assignee. For the avoidance of doubt, nothing in this Section 11.01(a) is intended to permit any assignee, purchaser, transferee or grantee to acquire any interest in the Development Xxxxx, the Subject Interests or any part thereof or undivided interest therein without being subject to and burdened with the Royalty Interest and this Conveyance. Assignee shall not be required to recognize any purported Transfer, mortgage or pledge not made in conformance with this Section 11.01(a) and, notwithstanding any such purported Transfer, mortgage or pledge, Assignor shall remain obligated under this Conveyance just as if such Transfer, mortgage or pledge attempt had not been made and Assignee shall continue to deal with Assignor to the exclusion of the purported transferee. Further, to the extent permitted by applicable Legal Requirements, any purported Transfer not made in conformance with this Section 11.01(a) shall be void and of no effect.

  • Resort to Other Procedures It is the intent of the parties to first provide a reasonable opportunity for resolution of a dispute through the grievance procedure and arbitration process. If prior to seeking resolution of a dispute by filing a grievance hereunder, or while the grievance proceeding is in progress, the grievant requests, in writing, resolution of the matter in any other forum, whether administrative or judicial, the University shall have no obligation to entertain or proceed further with the grievance under this grievance procedure. As an exception to this provision, a grievant may file a federal EEOC charge while the grievance is in progress when such filing becomes necessary to meet federal filing deadlines pursuant to 42 U.S.C. section 2000e et seq.

  • STATE'S RIGHT TO CLEAN UP 6.3.1 If a dispute arises between the Contractor and separate contractors as to their responsibility for cleaning up as required by Paragraph 4.15 of these General Conditions, the State may clean up and charge the cost thereof to the Contractor.
