Common use of Best Efforts to Close Clause in Contracts

Best Efforts to Close. The Parties shall use their respective best efforts to cause all necessary action to be taken in order to have all the conditions precedent for the Closing to be fulfilled as promptly as practicable and to have all deliveries made timely and properly as provided in Section 5.4.

Best Efforts to Close. 3.1. The Parties shall use their respective best efforts to cause all necessary action to be taken in order to have all the conditions precedent for complete the Closing by October 23, 2002. Unless Closing has occurred by this date either Party may cancel this Agreement without prejudice to be fulfilled as promptly as practicable and to have all deliveries made timely and properly as provided the confidentiality obligations set out in Section 5.47, or to any remedies available to the Parties under this Agreement or under law.

Unless Closing has taken place by December 31, 1999 either Party may cancel this Agreement without prejudice to the confidentiality obligations set out in Section 7.1 hereof or to any remedies available to the Parties hereunder or under law.
