AUTHORIZATION OF THIS DEED. This Deed has been duly authorized by resolution or by any other necessary action under its constating documents, by-laws or otherwise, in order to give it full effect and to render its obligations fully enforceable, subject to applicable bankruptcy, insolvency, reorganization, moratorium and other similar laws affecting the enforcement of creditors' rights generally from time to time in effect.
