Common use of Authorization of Sale of the Shares Clause in Contracts

Authorization of Sale of the Shares. Subject to the terms and conditions of this Agreement, the Company has authorized the sale of up to 3,485,000 shares (the "Company Shares") of common stock, par value $.001 per share (the "Common Stock"), of the Company and the Selling Stockholder has authorized the sale of up to an aggregate of 600,000 shares (the "Selling Stockholder Shares") of the Company's Common Stock. The Company Shares and the Selling Stockholder Shares are referred to herein collectively as the "Shares."

Authorization of Sale of the Shares. Subject to the terms and conditions of this Agreement, the Company has authorized the sale of up to 3,485,000 900,000 shares (the "Company Shares") of common stock, par value $.001 0.01 per share (the "Common Stock"), of the Company and the Selling Stockholder has authorized the sale Stockholders propose to sell an aggregate of up to an aggregate of 600,000 shares (the "Selling Stockholder Shares" and together with the Company Shares, the "Shares") of the Company's Common Stock. Subject to the terms and conditions of this Agreement, the Company has authorized the sale of up to 3,485,000 1,076,569 shares (the "Company Shares") of common stock, par value $.001 0.75 per share (the "Common Stock"), of the Company and the Selling Stockholder has authorized the sale of up to an aggregate of 600,000 1,373,431 shares (the "Selling Stockholder Shares") of the Company's Common Stock. The Company Shares and the Selling Stockholder Shares are referred to herein collectively as the "Shares."" The total number of Shares sold shall not exceed a total of 2,450,000 shares.

Subject to the terms and conditions of this Stock Purchase Agreement, the Company has authorized the sale of up to 3,485,000 2,500,000 shares (the "Company Shares") of common stock, par value $.001 per share of the Company (the "Common Stock"), of the Company and the Selling Stockholder has authorized the sale of up to an aggregate of 600,000 shares (the "Selling Stockholder Shares") of the Company's Common Stock. The Company Shares reserves the right to sell more than 2,500,000 shares of Common Stock prior to the date of the filing of the Registration Statement (as defined in Section 3). The shares of Common Stock, and the Selling Stockholder Additional Shares (as defined in Section 7.2) are referred to herein collectively as the "Shares"."
