Common use of AUTHORIZATION OF CONTRACT Clause in Contracts

AUTHORIZATION OF CONTRACT. Each Party represents and warrants to the other that: (i) it has the right and authority to enter into and perform all obligations under this Contract; (ii) it shall materially comply with all Applicable Laws, with respect to its performance of this Contract; (iii) no authorization or approval from any third party is or will be required in connection with such Party’s execution, delivery or performance of this Contract (iv) the execution and performance of this Contract does not violate or conflict with the terms or conditions of any other agreement to which it is a party or by which it is bound; and (v) this Contract has been duly executed and delivered and constitutes a valid and binding agreement enforceable against such Party in accordance with its terms.
