Common use of Authority of Limited Partners Clause in Contracts

Authority of Limited Partners. The Limited Partners shall not participate in or have any control over the management of the Partnership or its business and affairs and shall not have any power or authority to act for or bind the Partnership.

Authority of Limited Partners. The Limited Partners shall not participate as such (a) have no rights or powers in or have any control over the management of the Partnership or its business and affairs and shall not Partnership, (b) have any no power or authority to act sign for or bind the Partnership, and (c) may not attempt to take part in the management of the business of the Partnership. The rights of the Limited Partners to consent to and approve of certain matters under the provisions of this Agreement shall not be construed as participation in the operation and management of the business of the Partnership or the exercise of control over the Partnership affairs.
