Audit Exceptions. In addition to its obligations under Paragraph 8 (Audits) above, Contractor agrees to accept responsibility for receiving, replying to and/or complying with any audit exceptions by appropriate County, Agency or State agencies occurring as a result of its performance of this Agreement. Contractor also agrees to pay to the Agency within 30 days of demand by Agency the full amount of the Agency's liability, if any, to the State government resulting from any audit exceptions, to the extent such are attributable to the Contractor's failure to perform properly any of its obligations under this Agreement. Audit Exceptions. Operating Agency agrees that in the event the program established hereunder is subject to audit exceptions by appropriate audit agencies, it shall be responsible for complying with such exceptions and paying the County the full amount of County's liability to the funding agency resulting from such audit exceptions.
Audit Exceptions. The Tribe shall be financially responsible for any overpayments by DSHS/CA to the Tribe. The Tribe shall be financially responsible for any audit disallowances resulting from a federal or state audit which resulted from an action, omission or failure to act on the part of the Tribe.

If CONTRACTOR fails to reimburse the COUNTY within the time period, the COUNTY may offset the unpaid amount against any sums due from the COUNTY to CONTRACTOR pursuant to this Agreement or obligation.

The CONTRACTOR also agrees to pay to the LEA within thirty days of demand by XXX for any financial penalties resulting from any audit exceptions to the extent they are attributable to the CONTRACTOR's failure to perform properly any of its obligations under this contract unless the LEA agrees to different terms in writing and any demand by XXX for such payment shall be made pursuant to the notice provisions of Section 9 of this contract. Any and all audit exceptions must be specified in complete detail before any demand by the LEA for any amount set forth therein.

Upon request of XXX and except as otherwise provided by law, CONTRACTOR shall provide LEA, a state agency, a federal agency, and/or an independent agency/firm contracted by LEA, access to the following records: registers and roll books of teachers; daily service logs and notes or other documents used to record the provision of related services: absence verification records (parent doctor notes, telephone logs, and related documents); staff lists specifying credentials held, business licenses held, documents evidencing other qualifications, social security numbers, dates of hire, and dates of termination: staff time sheets: non-paid staff and volunteer sign-in sheets; transportation and other related services subAgreements; school calendars; bell/class schedules; liability and workers compensation insurance policies; state nonpublic school and/or agency certifications; marketing materials; by-laws; lists of current board of directors/trustees, if incorporated; statements of income and expenses; general journals; cash receipts and disbursement books; general ledgers and supporting documents; federal/state payroll quarterly reports; and bank statements and cancelled checks. Such access may include inspections by LEA with prior notice. All budgetary information and projections submitted by CONTRACTOR to LEA for purpose of contract negotiations shall be made available for the relevant Contract period being audited in order to assess the extent to which funds were expended consistent with such budgetary information. CONTRACTOR shall comply with any requests resulting from an inspection, review, or audit by XXX, a state agency, a federal agency, and/or an independent agency/firm in a reasonable and timely manner. Audit Exceptions. If an authorized federal or state audit takes exception to the services purchased under this contract for which federal or state reimbursement has been paid, the Contractor assumes liability for refunding the reimbursement if the audit exception is due to an error which is solely the responsibility of the contractor. If the audit exception is due to an error which is solely the responsibility of the Department, the legal responsibility for reimbursement is with the Department. If the is a joint responsibility of both parties, the parties shall work together to achieve an equitable resolution.
