Common use of Assistant Secretary Clause in Contracts

Assistant Secretary. In the absence or disability of the Secretary, the Assistant Secretary(s), if any shall be elected, shall perform the duties of the Secretary, and so acting, shall have all of the powers of and be subject to all the restrictions placed upon the Secretary; and shall have such other powers and perform such other duties as may from time to time be assigned to him or her by the President, by the Secretary or by the Member.

Assistant Secretary. In the absence of the Secretary or disability in the event of the Secretary’s inability or refusal to act, any Assistant Secretary, approved by the Assistant Secretary(s), if any shall be electedBoard, shall exercise all powers and perform the all duties of the Secretary, and so acting, . An Assistant Secretary shall have all of the powers of and be subject to all the restrictions placed upon the Secretary; and shall have also exercise such other powers and perform such other duties as may be assigned to such Assistant Secretary from time to time be assigned to him or her by the President, by Board or the Secretary or by the MemberSecretary.

Assistant Secretary. In the absence or disability of the Secretary, his powers and duties shall be performed by the Assistant Secretary(s)Secretary, if any shall be electedelected and if only one, shall perform the duties of the Secretaryor, and so acting, shall have all of the powers of and be subject to all the restrictions placed upon the Secretary; and shall have such other powers and perform such other duties as may from time to time be assigned to him or her by the Presidentif more than one, by the Secretary or one designated for the purpose by the MemberBoard or, in the absence of such designation, the Assistant Secretary longest serving as of the date of such absence or disability. Each Assistant Secretary shall perform such duties and have such powers additional to the foregoing as the Board shall designate.

Assistant Secretary. In At the request of the Secretary or in his or her absence or disability of the disability, any Assistant Secretary, the Assistant Secretary(s), if any shall be elected, shall perform all the duties of the Secretary, and when so acting, he or she shall have all of the powers of of, and be subject to all the restrictions placed upon on, the Secretary; and . In the absence case of absence, disability or disability death of the Secretary, the Assistant Secretary(s), if any shall be elected, Secretary shall perform and be vested with all the duties and powers of the Secretary, and so acting, until the Secretary shall have all of the powers of and be subject to all the restrictions placed upon resumed such duties or the Secretary; and shall have such other powers and perform such other duties as may from time to time be assigned to him or her by the President, by the Secretary or by the Member’s successor is elected.

In During the absence or disability of the Secretary, or as directed by the Board of Directors, the Assistant Secretary(s), if any Secretary shall be elected, shall perform have all the duties powers and functions of the Secretary, and so acting, shall have all of the powers of and be subject to all the restrictions placed upon the Secretary; and shall have such other powers and perform such other duties as may from time to time be assigned to him or her by the President, by the Secretary or by the Member.

In The Assistant Secretary shall perform all the absence or disability duties and responsibilities of the Secretary, Secretary on such occasions on which the Assistant Secretary(s), if any Secretary shall be elected, shall unavailable to perform the duties of the Secretary, and so acting, shall have all of the powers of and be subject to all the restrictions placed upon the Secretary; office and shall have such perform all other duties and exercise all other powers and perform such other duties as may from time to time shall be assigned to him or her by the President, by the Secretary Board of Directors or by the MemberPresident or the Secretary.
