Common use of Assistance by Executive Clause in Contracts

Assistance by Executive. During the period of Executive’s employment by the Company, Executive shall assist each Company Entity, at any time, in the protection of such Company Entity’s worldwide right, title and interest in and to Confidential Information and Work Product and the execution of all formal assignment documents requested by such applicable Company Entity and the execution of all lawful oaths and applications for patents and registration of copyright in the United States and foreign countries. After Executive’s employment with the Company terminates, at the request from time to time and expense of each Company Entity, Executive shall reasonably assist such Company Entity, at reasonable times and for reasonable periods and for reasonable compensation, in the protection of such Company Entity’s worldwide right, title and interest in and to Confidential Information and Work Product and the execution of all formal assignment documents requested by such Company Entity and the execution of all lawful oaths and applications for patents and registration of copyright in the United States and foreign countries.

After Executive’s employment with the Company terminates, at the request from time to time and expense of each Company Entityor its affiliates, Executive shall reasonably assist such Company Entityand its nominee, at reasonable times and for reasonable periods and for reasonable compensation, in the protection of such Company EntityCompany’s or its affiliates’ worldwide right, title and interest in and to Confidential Information and Work Product and the execution of all formal assignment documents requested by such Company Entity or its nominee and the execution of all lawful oaths and applications for patents and registration of copyright in the United States and foreign countries.
