Assignments; Reinsurance; Third-Party Rights. (a) This Agreement shall be a continuing obligation of the Seller and the Depositor and shall (i) be binding upon the Seller and the Depositor, its or their successors and assigns and (ii) inure to the benefit of and be enforceable by the Insurer and its successors, transferees and assigns. None of the Seller nor the Depositor may assign this Agreement, or delegate any of its rights or obligations hereunder, without the prior written consent of the Insurer.
