Common use of Assignment to Trustee Clause in Contracts

Assignment to Trustee. It is understood that this Sales and Servicing Agreement and all rights of the Company hereunder will be assigned by the Company to the Trustee pursuant to the Indenture, for the benefit of the Trustee, the holders from time to time of the Notes as provided in the Indenture, and may be subsequently assigned by the Trustee to any successor Trustee or as otherwise provided in the Indenture. Each of the Seller and the Servicer hereby expressly agrees to each such assignment and agrees that all of its duties, obligations, representations and warranties hereunder shall be for the benefit of, and may be enforced by, the Trustee, the holders from time to time of the Notes, and any successor to or assignee of any thereof.

Assignment to Trustee. It is understood that this Sales Assignment and Servicing Agreement and all rights of the Company Issuer hereunder will be assigned by the Company Issuer to the Trustee pursuant to the Indenture, for the benefit of the Trustee, the holders from time to time of the Notes as provided in the Indenture, and may be subsequently assigned by the Trustee to any successor Trustee or as otherwise provided in the Indenture.
