Assignment to Trustee. The Seller hereby acknowledges and consents to any mortgage, pledge, assignment and grant of a security interest by the Issuer to the Trustee pursuant to the Indenture for the benefit of the Noteholders of all right, title and interest of the Issuer in, to and under the Receivables and/or the assignment of any or all of the Issuer's rights and obligations hereunder to the Trustee.
Assignment to Trustee. The Seller hereby acknowledges and consents to any mortgage, pledge, assignment and grant of a security interest by the Trust to the Trust Collateral Agent pursuant to the Indenture for the benefit of the Noteholders of all right, title and interest of the Trust in, to and under the Receivables listed in Schedule A hereto and/or the assignment of any or all of the Trust’s rights and obligations hereunder to the Trust Collateral Agent.
Assignment to Trustee. It is understood that this Sales and Servicing Agreement and all rights of the Company hereunder will be assigned by the Company to the Trustee pursuant to the Indenture, for the benefit of the Trustee, the holders from time to time of the Notes as provided in the Indenture, and may be subsequently assigned by the Trustee to any successor Trustee or as otherwise provided in the Indenture. Each of the Seller and the Servicer hereby expressly agrees to each such assignment and agrees that all of its duties, obligations, representations and warranties hereunder shall be for the benefit of, and may be enforced by, the Trustee, the holders from time to time of the Notes, and any successor to or assignee of any thereof.
Assignment to Trustee. It is understood that this Assignment and Servicing Agreement and all rights of the Issuer hereunder, but none of its duties or obligations, will be assigned by the Issuer to the Trustee pursuant to the Indenture, for the benefit of the holders from time to time of the Notes and the Insurer as provided in the Indenture, and may be subsequently assigned by the Trustee to any successor Trustee or as otherwise provided in the Indenture. Each of the Originator, the Seller and the Servicer hereby expressly agrees to each such assignment and agrees that all of its duties, obligations, representations and warranties hereunder shall be for the benefit of, and may be enforced by, the Trustee, the Insurer, the holders from time to time of the Notes, and any successor to or assignee of any thereof.

Assignment to Trustee. It is understood that this Agreement and all rights of the Transferor hereunder and with respect to the Contributed Property will be assigned by the Transferor to the Issuer, and then assigned by the Issuer to the Trustee, for the benefit of the Trustee and the Noteholders, and may be subsequently assigned by the Trustee to any successor Trustee. Each of the Contributor and the Servicer hereby expressly agrees to each such assignment and agrees that all of its duties, covenants, obligations, indemnities, representations and warranties hereunder, and all of the rights and remedies of the Transferor hereunder, shall be for the benefit of, and may be enforced directly by, the Issuer, the Trustee, the Noteholders and any successor to or assignee of any thereof.
