Assignment; Separate Assignment Declarations. The Sellers and the Purchasers agree that the Shares sold and purchased under this Agreement are not transferred by virtue of this Agreement but will be assigned with effect in rem on the Closing Date with economic effect as of the Effective Date by means of a separate assignment declaration. Each Seller and each Purchaser hereby undertakes to execute, on the Closing Date, an assignment declaration substantially in the form attached hereto as Annex 3.3 (the Assignment Declarations) in order to effect such in rem transfer of the Shares.
