Assignment by CORVIS. CORVIS may not assign any of its rights or -------------------- obligations under this Agreement without the prior written consent of VENDOR, which consent shall not be unreasonably withheld; provided, however, that CORVIS may subcontract any part of its obligations, or assign this entire Agreement, to any of CORVIS' majority-owned subsidiaries, by providing written notification to VENDOR of such assignment or subcontract.
