ASP Services. The following are the ASP Services to be provided to Client by FIS under this Schedule, for the ASP Hosted Applications listed in Appendix A:

ASP Services. For avoidance of doubt, (i) any Supplier System which processes JPMC Data (including the data in the Daily Feed), shall be considered ASP Services; and (ii) any information included in the [***] fields of Supplier’s System, and their successors, shall be considered JPMC Data.
ASP Services. In the event that MPUK requires use of a network services center to host the VMI software application so that its customers can access their customer data via the Internet (“ASP Services”), MPUK and MPUSA shall negotiate in good faith (for a period of thirty (30) days) to consummate a reseller agreement on commercially arm’s length terms for the purchase of such ASP services from MPUSA for resale to such customers prior to attempting to purchase such ASP Services from a third party.
ASP Services. During the Term, RouteMatch shall, either directly or through subcontractor, provide Licensee with the ASP Services and with access to the Software, Server and Content by installing, operating and maintaining the Software on the Server, providing Licensee with services based on such Software and providing access to the Server and Content necessary for the proper usage of such Software, all pursuant to the terms and conditions set forth herein. RouteMatch shall allow Licensee access and use of the Software on the Server and Content via Licensee’s Internet facilities and/or dedicated data connection at all times during normal business hours during the Term; provided, however, that the System may be down for routine or other maintenance and/or problem resolution. A further description of the ASP Services and the terms and conditions relating to the use of the System are set forth in Exhibit C.
ASP Services. By accessing and using the Program, ASPs agree to provide or perform the Assessment Services in a professional and workmanlike manner within the time requirements as set forth hereunder or as may be set forth in electronic communications on the Program. ASPs will conduct Transactions in connection with its Assessment Services exclusively through the Program. Each ASP and or its Authorized User, as applicable, will have the right, in its discretion, to publish and offer its services and prices to Customers and Suppliers. ASP shall be responsible for each of its Authorized Users and shall cause each of its Authorized Users to comply with these Terms and each of the standards and Requests (as defined herein) provided through the Program or by iCompliance. The ASP, as a Seller of Assessment Services, acknowledges and agrees that it is subject to all Transaction terms and fees applicable to Sellers as set forth herein.
ASP Services. The term "ASP Services" includes services provided by ATS as an Application Service Provider as listed on Exhibit B.
ASP Services. 4. Applicable provisions This Request Form and the legal relationships deriving from it shall be governed by the Terms and Conditions, which the Client declares it knows and accepts. The Client and Euronext mutually acknowledge that the applicable provisions of law in the matter of personal data processing (set forth in the Legislative Decree of 30 June 2003 n. 196, as replaced and/or integrated with effect from 25 May 2018, by the EU General Data Protection Regulation No. 679/2016 and the relevant national and international implementing and integrating regulations and orders, such as Law No. 101/2018) apply to information relating to physical persons only. At the same time, the Client and Euronext undertake to comply with the above provisions of law, as applicable, which they declare to be well aware of, in the event of processing of data relating to physical persons operating in their name and/or in their interest, for the purpose of and/or directly or indirectly connected with the performance of the Service. In this regard, the Client declares that it has received and reviewed the privacy information notice provided by Euronext, according to the applicable data protection laws, posted on the Euronext’s website: xxx.xxxxxxxx.xxx/xxxxxxx-xxxxxxxxx. The Client, having read the privacy information notice provided by Euronext, declares to have made it available to its employees and/or officers for the processing of their personal data for the purposes listed therein.

ASP Services. The delivery and management of the Solution by Xxxxxx’x Application Service Providers, which may include Xxxxxx, to either one or multiple Customers via the Internet or a private network. ASP Services do not include the downloading or copying of Programs by Customers.
ASP Services. 1. Supported Applications Following is the list of software that is resident on TriZetto's equipment ("Supported Applications") that TriZetto will make available to Client as part of its Application Service Provider ("ASP") Services:

PCPM fees for any month shall be determined by applying the rate set forth above against the total number of Members that have submitted one or more claims that are adjudicated and paid during the twelve-month period prior to the month of determination (collectively, "Claimants"). The twelve-month look-back period for any month shall in no case include any month prior to the Go-Live Month. For purposes of this Exhibit C, a "Member" shall include any individual eligible to receive behavioral health services from CLIENT as a subscriber under a contract with CLIENT or with a customer of CLIENT or as an eligible dependent of a subscriber.
