ARBITRATION AND ATTORNEYS' FEES. Any controversy or claim arising out ------------------------------- of or relating to this Agreement, the Partnership, or the Partners' respective rights and duties shall be settled by arbitration in the State of Nevada. Such arbitration shall be in accordance with the rules of the American Arbitration Association, and judgment upon the award may be entered in any court of competent jurisdiction. The prevailing Partner or Partners in such arbitration and any ensuing legal action shall be reimbursed by the Partner or Partners who do not prevail for their reasonable attorney's, accountant's and expert's fees and the costs of such actions.
